Pursuant to the 2004 Long-term Equity Award Plan (the "Plan") of La-Z-Boy Incorporated (the "Company"), the Company previously made grants effective July 11, 2007, of performance-based stock awards (the "Awards") to approximately 120 employees, including the Company´s named executive officers then employed by the Company. The recipients of the Awards were to receive shares of the Company´s common stock if the Company performed at a specified level. Based on current market conditions and the Company´s performance in the first two quarters of fiscal 2008, the performance targets in the Awards now appear
to be unrealistic, and the Awards therefore will not provide an incentive to management during the three-year period. The Compensation Committee believes that
providing management with performance incentives is central to the Company´s efforts to attract and retain key executives and to directly link executives´
financial interests to those of the Company´s shareholders. Following consultation with its independent outside consultant, on January 7, 2008, the Company´s
Compensation Committee recommended to the Board of Directors, and on January 8, 2008, the Board approved, amendments to the Awards intended to provide
management with realistic incentives tied to critical short-term goals related to transformation of the Company´s business. Outstanding awards previously
issued for the fiscal years 2007-2009 period and the fiscal years 2006-2008 period have not been amended and are not expected to be paid out.

You see...the market is a fickle bitch. Previous success does not equal future success....or as they say "Whence a PARADIGM SHIFT occurs...everyone goes back to square one." I'll give you a simple example: Everyone thought little Mormon virgin-whore Carmen Rasmussen was destined for greatness because of her fine perky bossom and puffy bj lips....
....alas, the market for boring virgins with zits was already filled up by the women of Kansas. Hence....be glad you bought no stock in Carmen. capiche? |

Get ready for another rough day. I had hoped that we might see a moderate bounce today from what has happened recently, but foreign markets seem to have
accepted that America is in a recession. I don't even think we'll see much help at the end of the month when the fed cuts rates by a probable 1/2
point. Bernanke pretty much told everyone that things are pretty dire, and I think that this might be one of the worse months that we have seen in awhile.

Well, the last 3 months have seen quite a big drop of about 12%, not to mention that the previous period wasn't exactly stellar. The worst 3 month drop
the S&P has had was about 40%, and I think that the market is more resilient now than it was back then. I guess I am an optimist since I hold exclusively
long positions, but I wouldn't be surprised if we lost another 8-15% in the coming weeks before we get any sort of sustained recovery.
